The OrdoDesk Platform
1.1 What OrdoDesk Does
OrdoDesk is a collaborative operational management platform that enables organisations to:
- ›Schedule, conduct, and document meetings
- ›Create and manage Minutes of Meeting (MOM) and action items
- ›Assign, track, and manage tasks across teams and departments
- ›Manage organisational hierarchies, teams, and departments
- ›Monitor operational execution and accountability through dashboards and timelines
- ›Receive notifications and reminders for tasks, meetings, and deadlines
1.2 Who May Use the Services
OrdoDesk is a B2B platform. Access is granted exclusively to Organisations that have entered into a subscription agreement with Mikestudio, and individual users added to the Platform by their Organisation.
By using the Services as a User, you represent that you have been authorised to do so by your Organisation and that your use does not violate any Organisation policy.
1.3 Third-Party Services
OrdoDesk integrates with Agora (online meeting infrastructure) and Brevo (email notifications). Your use of features powered by these providers is subject to their respective terms. Mikestudio has no liability for third-party service availability or conduct.
Accounts and Registration
2.1 Organisation Accounts
Organisations must enter into a subscription agreement with Mikestudio. Upon subscription, the Organisation will be granted an administrative account to add and manage their users, teams, and departments.
2.2 User Accounts
Individual user accounts are created by the Organisation's administrator. Users do not register independently.
2.3 Account Security
Users are responsible for maintaining the confidentiality of their login credentials, all activity under their account, and promptly notifying Mikestudio at ordodeskadmin@gmail.com if they suspect unauthorised access.
2.4 Accurate Information
Organisations and users must provide accurate, current, and complete information when setting up accounts and keep it updated throughout their subscription.
Free Trial
3.1 Trial Period
Mikestudio may offer Organisations a free trial of up to fourteen (14) days from the date of registration, subject to Mikestudio's sole discretion.
3.2 Trial Conditions
During the Trial Period, access is provided on an "as-is" basis without warranties or service level commitments. Mikestudio may modify, suspend, or terminate the Trial Period at any time without notice.
3.3 Data at End of Trial
Upon conversion to a paid subscription, all trial data will carry forward.
Subscription and Fees
4.1 Subscription Plans
Following the free trial, Organisations may access the Platform on a monthly or annual paid subscription basis. Fees and plan details are as set out in the invoice or proposal provided at the time of subscription.
4.2 Payment Method
All payments are processed via bank transfer or invoice. Payment is due upon receipt of the invoice unless otherwise specified in writing.
4.3 Auto-Renewal
Subscriptions automatically renew at the end of each billing cycle at the then-current rate, unless the Organisation provides written notice of cancellation to ordodeskadmin@gmail.com at least ten (10) days before the renewal date.
4.4 Late Payment
If payment is not received within fifteen (15) days of the invoice due date, Mikestudio may suspend access to the Platform. If payment remains outstanding for more than thirty (30) days, Mikestudio may terminate the subscription.
4.5 Taxes
All fees are exclusive of applicable taxes. The Organisation is responsible for all applicable taxes, including GST or VAT, as required by the laws of their jurisdiction.
4.6 Fee Changes
Mikestudio may modify subscription fees at any time with at least thirty (30) days' advance written notice. Continued use after the effective date constitutes acceptance of the revised fees.
4.7 No Refunds
All fees paid to Mikestudio are non-refundable. Mikestudio does not offer refunds for any reason including unused portions of a billing period or early cancellation. Organisations should evaluate the Platform thoroughly during the free trial before committing to a paid subscription.
User Content
5.1 Ownership
The Organisation exclusively owns all rights, title, and interest in all content created, uploaded, or stored on the Platform by its users ("User Content"), including tasks, meetings, MOMs, comments, and team data. Mikestudio does not claim ownership of User Content.
5.2 License to Mikestudio
The Organisation grants Mikestudio a limited, non-exclusive licence to store, process, and use User Content solely to the extent necessary to provide and maintain the Services. Mikestudio may use aggregated and anonymised data for platform improvement where no individual or Organisation can be identified.
5.3 Responsibility for User Content
The Organisation is solely responsible for all User Content submitted. By submitting content, the Organisation warrants it has all necessary rights, that the content does not violate any applicable law or third-party rights, and that it does not contain harmful or unlawful material.
5.4 Feedback
If an Organisation provides Feedback regarding the Platform, Mikestudio may use such Feedback freely to improve its products without obligation of confidentiality, compensation, or attribution.
User Responsibilities and Restrictions
6.1 Permitted Use
The Services may only be used for lawful internal business purposes, in accordance with these Terms and all applicable laws.
6.2 Prohibited Conduct
Organisations and users must not:
- ›Licence, sublicence, resell, rent, lease, assign, or distribute access to the Platform to any third party
- ›Upload content that is unlawful, defamatory, obscene, or that infringes third-party intellectual property or privacy rights
- ›Upload or transmit viruses, malware, or any other harmful code
- ›Attempt to gain unauthorised access to the Platform, its servers, or related systems
- ›Use data mining tools, bots, scrapers, or automated extraction methods
- ›Reverse engineer, decompile, or otherwise attempt to derive the source code of the Platform
- ›Use the Platform to build a competitive or substantially similar product or service
- ›Remove, alter, or obscure any proprietary notices, trademarks, or branding
6.3 Organisation Responsibility for Users
The Organisation is responsible for ensuring all of its users comply with these Terms. Any breach by a user is deemed a breach by the Organisation.
Intellectual Property
7.1 Mikestudio's Rights
The Platform, its underlying technology, software, design, features, trademarks, logos, and all other intellectual property are the exclusive property of Mikestudio and its licensors. Nothing in these Terms transfers any intellectual property rights to the Organisation or its users.
7.2 License Grant to Organisations
Subject to compliance with these Terms and payment of fees, Mikestudio grants the Organisation a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the Organisation's internal business operations during the subscription period.
7.3 Proprietary Notices
Organisations must not remove, alter, or obscure any copyright, trademark, or other proprietary notices appearing on or within the Platform.
Confidentiality
8.1 Definition
"Confidential Information" means any non-public information disclosed by one party to the other in connection with these Terms, including business operations, technical data, pricing, product roadmaps, customer data, and Platform architecture.
8.2 Obligations
Each party agrees to hold the other party's Confidential Information in strict confidence, not disclose it to any third party without prior written consent, and use it only as necessary to fulfil obligations under these Terms. These obligations survive termination.
8.3 Compelled Disclosure
If required by law or court order to disclose Confidential Information, the disclosing party shall provide prompt written notice and cooperate with reasonable efforts to seek protective treatment.
Term and Termination
9.1 Term
These Terms commence on the date the Organisation first accesses the Platform and continue until terminated.
9.2 Termination by Organisation
The Organisation may terminate by providing written notice to ordodeskadmin@gmail.com. Termination takes effect at the end of the current billing cycle. No refunds will be issued.
9.3 Termination by Mikestudio
Mikestudio may terminate or suspend access immediately for material breach of these Terms, fraud, unlawful use, or if required by law; or upon fifteen (15) days' notice for any reason at Mikestudio's convenience.
9.4 Effect of Termination on Users
Upon termination, all user accounts associated with that Organisation will be immediately deactivated. The Organisation's administrator is responsible for promptly revoking access for any employee who ceases to work for the Organisation.
9.5 Data Following Termination
Mikestudio will retain the Organisation's data for a grace period of thirty (30) days, during which the Organisation may request retrieval by contacting ordodeskadmin@gmail.com.
Disclaimers
10.2 Internet and Transmission
Mikestudio is not responsible for data that is delayed, altered, intercepted, or lost during transmission over public networks.
10.3 Third-Party Services
Mikestudio makes no warranties regarding the availability or performance of third-party services integrated with the Platform (including Agora and Brevo). Use of third-party services is at the Organisation's own risk.
Limitation of Liability
Indemnification
The Organisation agrees to indemnify and hold harmless Mikestudio and its officers, directors, employees, and affiliates from any claims, damages, and expenses arising out of:
- ›The Organisation's or its users' use of the Platform in violation of these Terms
- ›Any User Content submitted to the Platform
- ›Any violation of applicable law or regulation by the Organisation or its users
- ›Any infringement of third-party intellectual property, privacy, or other rights
General Provisions
13.1 Governing Law and Jurisdiction
These Terms are governed by the laws of India. The parties irrevocably submit to the exclusive jurisdiction of the courts located in Calicut (Kozhikode), Kerala, India.
13.2 Severability
If any provision is found unlawful or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force.
13.3 Waiver
Mikestudio's failure to enforce any right or provision shall not constitute a waiver. Any waiver must be in writing.
13.4 Assignment
The Organisation may not assign these Terms without Mikestudio's prior written consent. Mikestudio may assign these Terms at any time, including in connection with a merger or acquisition.
13.5 Entire Agreement
These Terms, together with the Privacy Policy and any applicable subscription agreement or invoice, constitute the entire agreement between the parties and supersede all prior agreements.
13.6 Survival
Sections 5, 7, 8, 9.5, 10, 11, 12, and 13 survive termination or expiry of these Terms.
13.7 Language
These Terms are drafted in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
13.8 Force Majeure
Mikestudio shall not be liable for any delay or failure caused by circumstances beyond its reasonable control, including acts of God, natural disasters, internet outages, government actions, or third-party service failures.
